1. INTRODUCTION AND ACCEPTANCE

Welcome to Pay Plantation® VIP Membership!

This VIP Membership Agreement ("Agreement") establishes the terms and conditions governing participation in the Pay Plantation® VIP Membership Program ("VIP Program").

This Agreement is entered into between Pay Plantation®, LLC. ("Pay Plantation®," "Company," "we," "us," or "our") and the individual or legal entity enrolling in the VIP Program ("VIP Member," "Member," "you," or "your").

Pay Plantation® is a digital payment gateway and financial technology platform offering payment collection, crowdfunding, event ticketing, mini shops, escrow-related services, Faith Seed Giving, and additional payment tools.

VIP Membership provides eligible members with enhanced access to selected premium features designed to simplify digital transactions, support business operations, and create opportunities for financial convenience.

By purchasing or activating a VIP Membership, you acknowledge that you have reviewed and agree to this Agreement, together with the applicable Pay Plantation® Terms and Conditions and other incorporated policies.

Where separate consent is legally required for recurring payments or financial services, such consent will be obtained independently.

2. VIP MEMBERSHIP ELIGIBILITY

To qualify for VIP Membership, applicants must:

Be at least 18 years old or the applicable age of legal majority.
Maintain an active Pay Plantation® account.
Provide accurate and current registration information.
Complete applicable identity or business verification requirements.
Agree to the Company's Terms and Conditions and Acceptable Use Policy.
Pay the applicable VIP Membership fee.
Reside or operate in a jurisdiction where the requested Services are available.
Comply with applicable laws, financial regulations, and payment provider requirements.

Pay Plantation® may decline, suspend, or restrict membership where reasonably necessary for legal compliance, fraud prevention, security, or material violations of applicable agreements.

3. VIP MEMBERSHIP BENEFITS

VIP Membership provides access to premium platform capabilities, subject to eligibility, verification, technical availability, and applicable financial service requirements.

3.1 Digital Wallet

Eligible VIP Members may access supported digital wallet functionality, which may include:

Viewing available balances.
Reviewing transaction history.
Managing supported payments.
Accessing eligible transfer or withdrawal features.
Monitoring payment activity.

Wallet services may be provided in cooperation with authorized financial institutions or payment service providers.

VIP Membership does not automatically guarantee approval for every wallet function or financial transaction.

3.2 Website Payment Widget

VIP Members may access website payment integration tools that allow them to add payment buttons or widgets to eligible websites and applications.

These tools may enable members to:

Accept payments through supported payment methods.
Add payment functionality using provided integration code.
Create convenient checkout experiences.
Collect payments for eligible products and services.

Members are responsible for securely implementing the integration and complying with applicable merchant and payment-processing requirements.

3.3 Pay Me Links and QR Codes

VIP Members may generate payment links and QR codes for eligible transactions.

Members may:

Create payment requests for specific amounts.
Share payment links by email or messaging services.
Display QR codes for customers or supporters.
Collect payments through approved channels.

Members must not use payment links or QR codes for fraudulent, misleading, or prohibited transactions.

3.4 Send and Request Money

Where available, VIP Members may send and request payments using supported identifiers, including:

Email addresses.
Pay Plantation® usernames.
Telephone numbers.

Transfers may be subject to identity verification, transaction limits, processing delays, and financial service provider requirements.

Payment requests do not guarantee payment, and funds are not necessarily available immediately after a transaction is initiated.

3.5 Additional Premium Services

Pay Plantation® may introduce additional VIP benefits, integrations, business tools, and payment capabilities.

New benefits may be subject to separate eligibility criteria, fees, or service-specific agreements.

4. VIP MEMBERSHIP PLANS AND PRICING

VIP Membership is a paid service.

The applicable membership price, billing period, taxes, and payment terms will be displayed before enrollment.

Pay Plantation® may offer:

Monthly VIP Membership.
Annual VIP Membership.
Promotional or discounted VIP Membership.
Other membership plans expressly disclosed on the platform.

Not all plans must be offered at all times.

4.1 Membership Fees

Members agree to pay the fees associated with their selected VIP plan.

Membership fees are separate from transaction processing charges, transfer fees, escrow fees, and other service-specific charges unless expressly stated otherwise.

4.2 Promotional Pricing

Promotional offers may be subject to eligibility requirements, expiration dates, and other disclosed conditions.

Promotional pricing does not automatically apply to future renewal periods unless expressly stated.

4.3 Pricing Changes

Pay Plantation® may revise membership pricing with advance notice as required by applicable law.

Where required, renewed authorization will be obtained before a revised recurring charge is imposed.

5. BILLING AND AUTOMATIC RENEWAL

VIP Membership may be offered as a recurring subscription.

If a Member selects an automatically renewing plan, Pay Plantation® will clearly disclose before purchase:

The subscription price.
Billing frequency.
Renewal conditions.
Any introductory or promotional period.
When recurring charges begin.
How to cancel.
Applicable refund terms.

Automatic renewal will occur only after the Member provides the authorization required by applicable law.

Members will receive a purchase confirmation containing relevant subscription information and cancellation instructions.

Pay Plantation® may attempt to collect authorized renewal payments using the payment method on file.

Members are responsible for maintaining valid payment information.

If a payment fails, the Company may notify the Member and provide an opportunity to update payment details.

Repeated payment failures may result in suspension or expiration of VIP benefits.

6. VIP MEMBERSHIP CANCELLATION

VIP Members may cancel their subscriptions at any time.

Cancellation may be requested through available account membership settings or the designated customer support channel.

For automatically renewing plans:

A properly submitted cancellation will prevent future renewal charges once processed.
Cancellation will not automatically reverse charges already validly incurred.
Unless otherwise disclosed, paid VIP benefits will remain available through the end of the current billing period.
Membership will transition to the available Free Membership tier after expiration, subject to account eligibility.
Financial service features requiring VIP status may become unavailable following expiration.

Cancellation procedures will be reasonably accessible and will comply with applicable automatic-renewal and consumer protection requirements.

7. VIP MEMBERSHIP REFUNDS

VIP Membership refunds are governed by the Pay Plantation® Refund & Cancellation Policy.

Under the proposed policy:

7.1 Initial Purchase

Members may request a refund within seven (7) calendar days of their initial VIP Membership purchase, subject to the applicable refund conditions.

7.2 Renewal Charges

Recurring renewal payments are generally non-refundable after processing, except where required by law, associated with unauthorized or erroneous charges, or otherwise approved under the Refund & Cancellation Policy.

7.3 Duplicate Charges

Verified duplicate billing will be corrected or refunded as appropriate.

7.4 Unauthorized Charges

Members retain all applicable legal rights to dispute unauthorized transactions.

7.5 Refund Method

Approved refunds will generally be issued to the original payment method where possible.

Nothing in this Agreement limits legally protected refund, billing-error, or dispute rights.

8. PAYMENT PROCESSING AND TRANSACTION FEES

VIP Membership does not eliminate applicable transaction processing fees unless a specific benefit expressly provides otherwise.

Depending on the transaction, charges may include:

Payment processing fees.
Bank transfer fees.
Withdrawal charges.
Currency conversion fees.
Chargeback fees.
Escrow service fees.
Other disclosed service charges.

Applicable charges will be disclosed through the platform, payment flow, or relevant service agreement.

VIP Members are responsible for applicable taxes and lawful fees associated with their activities.

9. VIP REFERRAL PROGRAM

Pay Plantation® provides eligible Members with the opportunity to participate in its referral program.

9.1 Referral Commission

Eligible participants may earn a 10% referral commission when a successfully referred new Member completes a qualifying VIP Membership purchase.

The commission is calculated according to the applicable Referral Program Terms.

9.2 Qualifying Referrals

A qualifying referral generally requires:

A legitimate new Member.
Valid referral attribution.
A completed eligible VIP purchase.
Compliance with all program requirements.
No associated fraud, refund, or chargeback.

9.3 Commission Payment

Commission payout methods, minimum thresholds, and payment schedules will be specified in the Referral Program Terms.

9.4 Invalid Commissions

Commissions associated with fraudulent accounts, duplicate referrals, refunded purchases, or other invalid transactions may be withheld or reversed.

9.5 No Guaranteed Earnings

Pay Plantation® does not guarantee referral income, a minimum number of referrals, or any specific earnings.

Participation in the VIP Program does not establish an employment relationship, partnership, or agency relationship with Pay Plantation®.

10. ACCEPTABLE USE OF VIP SERVICES

VIP Members must use all premium features for lawful and authorized purposes.

Members may not:

Process fraudulent payments.
Misrepresent products or services.
Use stolen payment credentials.
Facilitate money laundering.
Engage in unauthorized financial services.
Create misleading payment requests.
Use payment widgets on fraudulent websites.
Circumvent transaction limits or verification requirements.
Engage in prohibited referral practices.
Violate payment network or financial partner rules.

Violations may result in appropriate restrictions, suspension, or termination.

11. IDENTITY VERIFICATION AND FINANCIAL COMPLIANCE

Pay Plantation® and its authorized partners may require identity verification or business due diligence before enabling certain VIP features.

Verification may include:

Government-issued identification.
Business registration documents.
Address verification.
Banking verification.
Beneficial ownership information.
Additional documentation required by law.

VIP Membership payment does not guarantee that identity verification will be approved.

If a purchased VIP feature cannot be provided because of verification restrictions, refund eligibility will be assessed under applicable law, the disclosed service terms, and the Refund & Cancellation Policy.

12. ACCOUNT SECURITY

VIP Members are responsible for maintaining reasonable security over their accounts.

Members should:

Use strong passwords.
Enable available two-factor authentication.
Keep account credentials confidential.
Protect payment links and integration credentials.
Monitor transaction activity.
Promptly report suspicious account access.

Pay Plantation® may implement additional security controls to protect accounts and payment activities.

No digital payment system can guarantee absolute security.

13. WALLET BALANCES AND FINANCIAL SERVICE LIMITATIONS

VIP Membership is a subscription for access to eligible platform features and is not itself a bank account, investment product, or guarantee of financial services.

Where wallet or money transmission services are provided, applicable financial service agreements will identify the responsible provider and governing conditions.

Pay Plantation® does not guarantee that wallet balances are insured bank deposits.

Any applicable deposit insurance or financial protection will be explained in the relevant product disclosures.

14. SERVICE AVAILABILITY

Pay Plantation® strives to provide reliable access to VIP features.

However, service availability may be affected by:

Scheduled maintenance.
Technical outages.
Third-party service interruptions.
Financial institution requirements.
Security incidents.
Regulatory restrictions.
Changes in supported jurisdictions.

The Company may modify or discontinue particular features with appropriate notice, subject to applicable law and contractual obligations.

Where a material paid benefit becomes unavailable, any applicable refund or other remedy will be determined under governing law and the relevant subscription terms.

15. MEMBERSHIP SUSPENSION AND TERMINATION

Pay Plantation® may suspend or terminate VIP Membership where reasonably necessary because of:

Material violations of this Agreement.
Fraudulent activity.
Security threats.
False account information.
Unlawful transactions.
Nonpayment of membership fees.
Applicable legal or regulatory requirements.
Requirements imposed by authorized financial service providers.

Where appropriate and legally permitted, the Company may provide notice and an opportunity to address the issue.

Termination does not eliminate valid outstanding payment obligations or legally protected rights.

16. ACCOUNT CLOSURE AND DATA RETENTION

VIP Members may request account closure, subject to applicable legal and financial obligations.

Account closure may require resolution of:

Pending transactions.
Outstanding balances.
Chargebacks.
Refund requests.
Referral commission adjustments.
Applicable record-retention requirements.

Personal information will be handled according to the Pay Plantation® Privacy Policy and applicable law.

17. INTELLECTUAL PROPERTY AND SOFTWARE LICENSE

Pay Plantation® retains ownership of its platform, software, trademarks, payment widgets, integration tools, and proprietary materials.

VIP Members receive a limited, nonexclusive, nontransferable, revocable license to use available tools for authorized purposes during their eligible membership period.

Members may not:

Redistribute proprietary software without authorization.
Reverse-engineer platform technology except where legally permitted.
Resell VIP account access.
Use Pay Plantation® trademarks without authorization.
Misuse integration credentials or confidential technical materials.

18. THIRD-PARTY PAYMENT SERVICES

Certain VIP benefits may rely on independent banks, payment processors, financial institutions, or other service providers.

Such providers may impose separate eligibility requirements, transaction limits, fees, and contractual conditions.

Pay Plantation® is not responsible for independent third-party conduct beyond obligations imposed by applicable law or the Company's contractual commitments.

19. PRIVACY AND DATA PROTECTION

Pay Plantation® processes Member information according to its Privacy Policy and applicable law.

Information may be shared with authorized providers as reasonably necessary for payment processing, identity verification, account management, fraud prevention, and legal compliance.

Members should review the Privacy Policy to understand available privacy rights and choices.

20. DISCLAIMERS

To the maximum extent permitted by law, VIP features are provided on an "as available" basis.

Pay Plantation® does not guarantee:

Uninterrupted access to all premium features.
Approval of every payment transaction.
Immediate availability of transferred funds.
Approval of every wallet or financial service.
Specific commercial results.
Referral commission earnings.
Compatibility with every website or application.

Nothing in this Agreement excludes obligations or warranties that cannot lawfully be excluded.

21. LIMITATION OF LIABILITY

To the extent permitted by applicable law, Pay Plantation®, LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from VIP Membership use, except where such exclusion is prohibited.

This provision does not limit non-waivable statutory rights, legally required remedies, or liability that cannot lawfully be excluded.

22. INDEMNIFICATION

To the extent permitted by law, VIP Members agree to indemnify Pay Plantation®, LLC against third-party claims and reasonable expenses arising from unlawful conduct, material violations of this Agreement, fraud, or infringement of third-party rights.

This obligation does not apply to claims caused by the Company's own unlawful conduct or where indemnification is prohibited by law.

23. MODIFICATIONS TO VIP MEMBERSHIP

Pay Plantation® may revise VIP benefits, membership structures, and service terms.

Material changes affecting paid subscriptions will be communicated with appropriate advance notice.

Where legally required, the Company will obtain additional consent before implementing changes.

Changes will not retroactively remove legally protected rights associated with completed transactions.

24. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement is governed by applicable federal law and the laws of the State of Texas, United States, subject to mandatory consumer protections.

Members are encouraged to contact customer support to seek informal resolution of disputes.

Unresolved disputes may be brought before a court of competent jurisdiction.

Nothing in this Agreement prevents Members from exercising legally protected rights to contact financial institutions, file regulatory complaints, or pursue applicable statutory remedies.

25. ENTIRE AGREEMENT

This VIP Membership Agreement, together with the applicable Terms and Conditions, Privacy Policy, Refund & Cancellation Policy, Acceptable Use Policy, and any supplemental financial service agreements, constitutes the applicable contractual framework for VIP Membership.

If a provision is found unenforceable, the remaining provisions will remain effective to the extent legally permitted.

27. VIP MEMBERSHIP ACKNOWLEDGMENT

By selecting a VIP Membership plan and completing enrollment, you acknowledge that:

You have reviewed the applicable membership price and billing frequency.
You understand the premium features associated with your selected plan.
You have reviewed the applicable cancellation and refund conditions.
You agree to comply with the Pay Plantation® Terms and Conditions and Acceptable Use Policy.
You understand that certain financial services may require additional verification and approval.
You understand that referral commissions are subject to eligibility requirements and are not guaranteed.

Recurring Payment Authorization: Where an automatically renewing plan is selected, the Member must separately and expressly authorize recurring charges after receiving clear disclosures of the price, billing frequency, renewal terms, and cancellation method.
